(Al-Baqarah 282)
O believers! When you contract a loan for a fixed period of time, commit it to writing. Let the scribe maintain justice between the parties. The scribe should not refuse to write as Allah has taught them to write. They will write what the debtor dictates, bearing Allah in mind and not defrauding the debt. If the debtor is incompetent, weak, or unable to dictate, let their guardian dictate for them with justice. Call upon two of your men to witness. If two men cannot be found, then one man and two women of your choice will witness—so if one of the women forgets the other may remind her.1 The witnesses must not refuse when they are summoned. You must not be against writing ˹contracts˺ for a fixed period—whether the sum is small or great. This is more just ˹for you˺ in the sight of Allah, and more convenient to establish evidence and remove doubts. However, if you conduct an immediate transaction among yourselves, then there is no need for you to record it, but call upon witnesses when a deal is finalized. Let no harm come to the scribe or witnesses. If you do, then you have gravely exceeded ˹your limits˺. Be mindful of Allah, for Allah ˹is the One Who˺ teaches you. And Allah has ˹perfect˺ knowledge of all things.
Laws Applicable
The primary law governing the specific performance of agreements to sell in Pakistan is the Specific Relief Act, 1877. This Act details the conditions under which a court can mandate one party to perform their contractual obligations, including the completion of property sales.
Process for Filing a Suit
Consult a Lawyer
The first and most crucial step is to consult a lawyer specializing in property law. A qualified lawyer will assess the agreement, evaluate the strength of the case, and provide guidance on the legal process. They will help you understand your rights and the likelihood of a favorable outcome.Draft and Issue Legal Notice
Once you decide to proceed, your lawyer will draft a legal notice to the seller, demanding the fulfillment of the agreement to sell. This notice specifies a timeframe for compliance, usually 30 days. The legal notice serves as an official communication indicating your intention to seek legal recourse if the seller fails to comply.File a Suit in Civil Court
If the seller does not comply with the legal notice, the next step is to file a suit for specific performance in the appropriate civil court. The jurisdiction of the court typically depends on the location of the property in question. Your lawyer will prepare the necessary documentation and file the suit, formally initiating the legal process.Prepare Evidence
Strong evidence is critical to supporting your claim. The following types of evidence are typically required: The signed agreement: to sell This is the primary document outlining the terms of the sale. Proof of any payments made towards the purchase: Receipts, bank statements, or any other documentation showing payments made. Communication records with the seller: Emails, letters, or any form of communication discussing the agreement and the sale.Court Hearing
The court will schedule hearings where both parties present their arguments and evidence. Your lawyer will advocate on your behalf, presenting the evidence and explaining why the court should order the specific performance of the agreement.Court Decision
After hearing arguments and reviewing evidence, the court will decide whether to grant specific performance. If granted, the court will order the seller to complete the sale according to the terms of the agreement. In some cases, if specific performance is deemed inappropriate, the court may award monetary compensation instead. Additionally, the court may dismiss the case if they find the claim is not justified.
Conditions for Specific Performance
The court will only grant specific performance if certain conditions are met:
- Validity and Enforceability: The agreement to sell must be valid and enforceable.
- Fulfillment of Obligations: The buyer must have fulfilled all their obligations under the agreement.
- Appropriateness of Remedy: Specific performance must be deemed an appropriate remedy. In some cases, awarding compensation may suffice.
Time Limits
There is a three-year time limit for filing a suit for specific performance, typically starting from the date of the agreement to sell. It is essential to consult your lawyer regarding any deadlines to ensure timely action.
Legal Precedents
Two significant legal precedents provide insights into the specific performance of agreements to sell: 2024 YLR 573: This case emphasizes the importance of adhering to limitation periods in filing suits for specific performance. It underscores that once the limitation period expires, a right accrues in favor of the other party by operation of law. 2023 SCMR 815: This case highlights the necessity for the party seeking specific performance to demonstrate enthusiasm and willingness to fulfill their obligations under the contract.
